In this field of law our clients are predominately medium-sized businesses under the legal form of a limited liability company (GmbH) or corporation/public company (AG) as well as non-incorporated partnerships under German commercial law. Frequently we also deal with questions concerning the legal conditions of non-trading partnerships under the Civil Code (Gesellschaften bürgerlichen Rechts), as for instance funds, professional partnerships and internal partnerships without legal capacity. Our far-reaching activities in the field of corporate law include the preparation and monitoring of the formation of companies and their registering, the legal issues arising in connection with the acquisition and sale of businesses, the transfer of shares or the conversion of companies (merger, splitting, asset transfer, change of form). Furthermore the counselling of shareholders or partners and company organs in respect to their rights and duties arising out of the articles of association occupies a broad space in our legal practice. Questions concerning these issues often become relevant when disputes between the members of a company arise. |
